These Terms of Service (“Terms”) govern your access to and use of the GRAVITAS INDEX website and services operated by Boxford Partners LLC DBA GRAVITAS INDEX (“Company,” “we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms.
1. Services
Boxford Partners LLC DBA GRAVITAS INDEX provides Entity Search infrastructure services for real estate professionals, including:
- →AI concierge configuration and operation (sub-60-second lead response engine)
- →Review capture and automation (reviewSNIPER protocol)
- →Structured data and JSON-LD schema markup implementation
- →Knowledge Graph optimization for Google Entity Search
- →CRM integration and lead routing configuration
- →Monthly performance reporting and Entity Search ranking analysis
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice to active clients.
Alpha Program
Access to our services is currently limited to qualified real estate professionals through our Alpha Program. Acceptance is at our sole discretion. We limit participation to a maximum of 12 agents per market to protect the competitive advantage delivered to each participant.
2. Use of Website
You agree to use our website only for lawful purposes and in accordance with these Terms. You agree not to:
- →Violate any applicable laws or regulations
- →Infringe on intellectual property or proprietary rights
- →Transmit harmful code, viruses, or malware
- →Attempt to gain unauthorized access to our systems or data
- →Use automated tools to scrape or extract data from the platform
- →Impersonate any person, entity, or business
3. Intellectual Property
All content, methodologies, software, and systems comprising the GRAVITAS INDEX platform—including the AI concierge framework, review automation protocols, and Entity Search optimization processes—are the property of Boxford Partners LLC or its licensors and are protected by applicable intellectual property laws.
You retain ownership of your business data, client information, CRM records, and listing content. You grant us a limited license to access and process this data solely to deliver the services described in these Terms.
We retain the right to use anonymized, aggregated performance data for service improvement and research purposes.
4. AI-Generated Responses and Fair Housing Compliance
Our AI concierge is trained to comply with Fair Housing Act requirements and is designed to deflect questions that could expose you to fair housing liability. By using the AI concierge service, you acknowledge:
- →AI-generated responses are sent on your behalf and under your account
- →You remain ultimately responsible for all communications sent through your account
- →We do not guarantee that every AI-generated response will be fully compliant with all applicable laws in every jurisdiction
- →You should monitor AI interactions and report any compliance concerns immediately
- →The AI is not a substitute for legal advice; consult your broker or legal counsel on compliance questions
5. Client Responsibilities
When using our services, you agree to:
- →Provide accurate and complete information during onboarding and throughout the engagement
- →Maintain active CRM, Google Business Profile, and review platform accounts in good standing
- →Comply with all applicable federal, state, and local laws, including Fair Housing regulations
- →Use the service in a manner consistent with Google, Zillow, and Realtor.com review platform guidelines
- →Maintain the security of your account credentials and promptly notify us of unauthorized access
- →Make timely payments as agreed
6. Payment Terms
Services require a one-time setup fee and recurring monthly subscription:
- →Setup fee is non-refundable once onboarding work has begun
- →Monthly subscriptions bill automatically on the same date each month
- →A 90-day initial commitment period applies from the date of onboarding
- →After the initial 90 days, cancellation requires 30 days written notice
- →No refunds are issued for partial months of service
- →Failed payments may result in temporary suspension of services
- →Accounts delinquent beyond 30 days may be permanently terminated
7. Warranties and Disclaimers
We strive to provide high-quality infrastructure services. However:
- →Services are provided "as is" without warranties of any kind, express or implied
- →We do not guarantee specific business outcomes, lead volume, or close rates
- →We do not guarantee specific Entity Search rankings or Google algorithm results
- →We are not responsible for changes to Google, Zillow, or other third-party platform policies beyond our control
- →AI concierge response quality depends on the information you provide during configuration
- →The website may occasionally contain technical inaccuracies or errors
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- →Our total aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the claim
- →We are not liable for indirect, incidental, special, or consequential damages
- →We are not liable for loss of profits, revenue, data, or business opportunities
- →We are not liable for damages resulting from your reliance on AI-generated content
- →Some jurisdictions do not allow limitations of liability; these limitations may not apply to you
9. Confidentiality
Both parties agree to:
- →Keep confidential information received from the other party private and secure
- →Use confidential information only for the purposes of the service relationship
- →Not disclose confidential information to third parties without prior written consent
- →Return or destroy confidential information upon request or termination
This obligation does not apply to information that is or becomes publicly available through no breach of this agreement, or that was independently developed without reference to the disclosing party's information.
10. Termination
Either party may terminate the service relationship:
- →Client may cancel with 30 days written notice after the initial 90-day commitment period
- →We may terminate immediately upon material breach of these Terms
- →We may terminate immediately for violation of review platform policies or Fair Housing regulations
- →We may terminate immediately if continuation would expose us to legal liability
Upon termination, you remain liable for all fees incurred prior to the effective termination date. We will provide a final performance report and hand off any client-owned data within 30 days of termination.
11. Indemnification
You agree to indemnify, defend, and hold harmless Boxford Partners LLC DBA GRAVITAS INDEX and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- →Your use of our services
- →Your violation of these Terms
- →Your violation of applicable laws, including Fair Housing regulations
- →Your violation of third-party platform policies (Google, Zillow, Realtor.com)
- →Any claim by a third party arising from AI-generated communications sent through your account
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to personal jurisdiction in such courts.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by email to active clients. Changes will be effective upon the date specified in the notice. Your continued use of our services after the effective date constitutes acceptance of the revised Terms.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy and any executed Statement of Work or onboarding agreement, constitute the entire agreement between you and Boxford Partners LLC DBA GRAVITAS INDEX with respect to your use of our services, and supersede all prior agreements and understandings.
